Terms of Use

Welcome to B.R.I.D.G.E Directory. These Terms of Use (“Terms”) govern your access to and use of our website, services, and content (collectively, the “Service”). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the date or post the updated Terms on the Service. Changes are effective when posted. Your continued use of the Service after changes are posted means you accept the revised Terms. We encourage you to review these Terms periodically.

You retain ownership of the content you submit, post, or display on the Service (“User Content”). You are solely responsible for your User Content and for the consequences of posting it. You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right.

By submitting User Content, you grant B.R.I.D.G.E Directory a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, display, and distribute that content in connection with operating and promoting the Service. This license ends when you remove your User Content, except to the extent it has been shared with others who have not removed it, or where retention is required by law. We are not obligated to host any content and may remove or refuse User Content at any time.

6. Acceptable Use

You agree not to use the Service to do any of the following, or to assist others in doing so:

  • Post or transmit content that is illegal, harmful, threatening, harassing, defamatory, obscene, hateful, or otherwise objectionable.
  • Infringe any patent, trademark, copyright, trade secret, or other intellectual property or proprietary right.

  • Upload or transmit viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to any system or data.
  • Use any robot, spider, scraper, or other automated means to access, collect, or copy content or data from the Service without our prior written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Service, its servers, or networks, or attempt to gain unauthorized access to any part of the Service.
  • Collect, harvest, or store personal information about other users without their consent.

7. Listings, No Professional Advice, and No Endorsement

The Service may operate as a membership community or directory that displays member profiles, listings, and other User Content. We do not verify, and are not responsible for, the accuracy, quality, legality, credentials, or qualifications of any member, listing, or content. Inclusion in the Service is not an endorsement, recommendation, certification, or guarantee of any member or of any product or service they offer. Content on the Service is provided for general informational purposes only and is not professional advice of any kind. You should independently verify information and seek qualified professional advice before relying on it or entering into any transaction.

8. Third-Party Content and Dealings Between Users

The Service may contain content provided by other users and links to third-party websites and services that B.R.I.D.G.E Directory does not control. We are not responsible for and do not endorse any third-party content, websites, or services, and your use of them is at your own risk. Any dealings, transactions, or interactions you have with other users or third parties are solely between you and them. To the fullest extent permitted by law, you release B.R.I.D.G.E Directory from any claims, damages, and disputes arising out of such dealings.

9. Fees and Paid Services

Certain features, listings, or memberships may require payment. Applicable fees and billing terms are described at the point of purchase. Unless otherwise stated or required by law, all fees are non-refundable. We may add, change, or discontinue fees or paid features, and will provide notice of material changes where required.

10. Intellectual Property

The Service and its content, features, and functionality — including text, graphics, logos, software, and design — are owned by B.R.I.D.G.E Directory or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, reproduce, reverse engineer, scrape, or create derivative works from the Service except as expressly permitted. All trademarks and service marks displayed on the Service are the property of their respective owners.

11. Copyright and Infringement Notices

We respect intellectual property rights and respond to clear notices of alleged copyright infringement. If you believe content on the Service infringes your copyright, please send a written notice to our designated contact at info@bridge-directory.com that includes the following:

  • Identification of the copyrighted work you claim has been infringed.
  • Identification of the material that you claim is infringing and information reasonably sufficient to locate it on the Service.

B.R.I.D.G.E Directory DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK. B.R.I.D.G.E Directory IS NOT LIABLE FOR ANY FAILURE OR DELAY IN PERFORMANCE CAUSED BY EVENTS BEYOND ITS REASONABLE CONTROL.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, B.R.I.D.G.E Directory AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless B.R.I.D.G.E Directory and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including those concerning User Content licenses, intellectual property, the release in these Terms, disclaimers, limitation of liability, indemnification, governing law, and the limitation period for claims.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which B.R.I.D.G.E Directory is established and operates, without regard to conflict-of-law principles. Before filing any claim, you agree to first contact us at info@bridge-directory.com and attempt to resolve the dispute informally and in good faith. If the dispute is not resolved within a reasonable time, you agree that it will be brought exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.

18. Time Limit for Claims

Any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise, it is permanently barred, to the extent permitted by law.

19. General

These Terms, together with the Privacy Policy, are the entire agreement between you and B.R.I.D.G.E Directory regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent, but we may assign them freely. Section headings are for convenience only.
